Remit4Health Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THE HEALTH COVERAGE PURCHASING SERVICES OFFERED BY REMIT4HEALTH, INC. (“REMIT4HEALTH”). BY MUTUALLY EXECUTING ONE OR MORE ORDER FORMS WITH COMPANY WHICH REFERENCE THESE TERMS OR BY SUBMITTING AN ONLINE ORDER FORM ON REMIT4HEALTH’S WEBSITE (EACH, AN “ORDER FORM”), YOU (“CUSTOMER”) AGREE TO BE BOUND BY THESE TERMS (TOGETHER WITH ALL ORDER FORMS, THE “AGREEMENT”) TO THE EXCLUSION OF ALL OTHER TERMS. IF THE TERMS OF THIS AGREEMENT ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO SUCH TERMS.

Remit4Health’s Obligations

Subject to Customer’s compliance with the terms and conditions of this Agreement Remit4Health agrees to remit payments to its partner providers for the health care and/or pharmacy services described in Exhibit A hereto (the “Comprehensive Coverage”) or Exhibit B hereto (the “Senior Care Package”), subject to the limitations, deductibles and other conditions specified in Exhibit A or B.  Coverage is provided only for the Beneficiary named in the Order Form and only when Coverage is provided by the provider(s) specified in Exhibit A or B (the “Providers”); no payments will be remitted for services received by anyone other than the Beneficiary or for services received at any facilities other than the Providers. Customer acknowledges and agrees that neither the Coverage nor Remit4Health’s payment obligations are insurance.  Remit4Health is providing a payment remittal service to facilitate Beneficiary’s payments for the Coverage received from the Providers (the “Service”). Remit4Health does not provide medical advice or treatment and is not responsible for the treatment provided (or any failure to provide treatment) by the Providers. Remit4Health will provide telephone and email-based support for the Service. Remit4Health will provide personalized care coordination services through its cadre of Health Navigators.

 

Customer’s Obligations

Customer shall pay Remit4Health fees for the Remit4Health payment services provided hereunder (the “Services”)  as set forth in each Order Form (“Fees”). Unless otherwise specified in an Order Form, all Fees for Comprehensive Coverage Plans shall be paid in advance by credit card [via Remit4Health’s payment processor] and all Senior Care Packages shall be paid in advance by credit card [via Remit4Health’s payment processor].  Customer shall be responsible for all taxes associated with the Services (excluding taxes based on Remit4Health’s net income). All Fees paid are non-refundable and are not subject to set-off. Customer acknowledges and agrees that Remit4Health is not responsible to remit payment for (and the Fees do not include payment for) any products or services outside the Coverage.  Customer and Beneficiary are solely responsible for determining the suitability of the Providers and are should seek medical care elsewhere if they determine the Providers do not meet their needs.

Customer agrees that payments for Coverage are made subject to Customer’s and Beneficiary’s compliance with all of the terms of this Agreement and the Coverage requirements set forth in Exhibit A or B.   Failure for Customer and/or Beneficiary to comply with such terms and requirements shall be deemed a breach of this Agreement and shall relieve Remit4Health of its obligations under this Agreement.

 

Ownership; Feedback

As between the parties, Remit4Health retains all right, title, and interest in and to the Service and all intellectual property rights embodied in or otherwise used to provide the Service, and all improvements thereto.  Customer may from time to time provide suggestions, comments or other feedback to Remit4Health with respect to the Service (“Feedback”). Remit4Health shall be free to use and disclose the Feedback for any purposes.

 

Term; Termination

This Agreement shall commence upon the Effective Date set forth in the first Order Form, and, unless earlier terminated in accordance herewith, shall last until the expiration or termination of the all Order Forms. For each Order Form, the “Order Form Term” shall begin as of the Effective Date set forth on such Order Form, and unless earlier terminated as set forth herein, (a) shall continue for the initial term specified on the Order Form (the “Initial Order Form Term”), and (b) following the Initial Order Form Term, shall automatically renew for additional successive periods of one year each (each, a “Renewal Order Form Term”) unless either party notifies the other party of such party’s intention not to renew no later than thirty (30) days prior to the expiration of the Initial Order Form Term or then-current Renewal Order Form Term, as applicable. In the event of a material breach of this Agreement by either party, the non-breaching party may terminate this Agreement by providing written notice to the breaching party, provided that the breaching party does not materially cure such breach within thirty (30) days of receipt of such notice. Without limiting the foregoing, Remit4Health may suspend the Service if (i) Customer’s account is more than sixty (60) days past due, or (ii) Customer’s use of the Service results in (or is reasonably likely to result in) violation of any applicable laws.  All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, accrued payment obligations, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

 

Indemnification

Customer shall defend, indemnify, and hold harmless Remit4Health, its affiliates and each of its and its affiliates’ employees, contractors, directors, suppliers and representatives (collectively, the “Indemnitees”) from all liabilities, claims, and expenses paid or payable to an unaffiliated third party (including reasonable attorneys’ fees) (“Losses”), that arise from or relate to any claim against any of the Indemnitees (i) asserting that Customer’s use of the Service infringes, violates, or misappropriates any third party intellectual property right or (ii) relating in any way to the Coverage received from any of the Providers.  Customer’s indemnification obligations hereunder shall be conditioned upon the Indemnitee providing the Customer with: (i) prompt written notice of any claim (provided that a failure to provide such notice shall only relieve the Customer of its indemnity obligations if the Customer is materially prejudiced by such failure); (ii) the option to assume sole control over the defense and settlement of any claim (provided that the Indemnitee may participate in such defense and settlement at its own expense); and (iii) reasonable information and assistance in connection with such defense and settlement (at the Customer’s expense).

 

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED “AS IS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE, USAGE OF TRADE, OR COURSE OF DEALING, ALL OF WHICH ARE EXPRESSLY DISCLAIMED.

 

Limitation of Liability

EXCEPT INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SUBJECT MATTER OF THIS AGREEMENT (I) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER OR (II) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) THE FEES PAID (OR PAYABLE) BY CUSTOMER TO REMIT4HEALTH HEREUNDER IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO A CLAIM HEREUNDER.

 

Miscellaneous

This Agreement represents the entire agreement between Customer and Remit4Health with respect to the subject matter hereof, and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between Customer and Remit4Health with respect thereto. The Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflicts of law rules, and the parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York, New York USA. All notices under this Agreement shall be in writing and shall be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service. Notices must be sent to the contacts for each party set forth on the Order Form. Either party may update its address set forth above by giving notice in accordance with this section. Except as otherwise provided herein, this Agreement may be amended only by a writing executed by both parties. Except for payment obligations, neither party shall be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond such party’s reasonable control, including, without limitation, the elements; fire; flood; severe weather; earthquake; vandalism; accidents; sabotage; power failure; denial of service attacks or similar attacks; Internet failure; acts of God and the public enemy; acts of war; acts of terrorism; riots; civil or public disturbances; strikes, lock-outs or labor disruptions; any laws, orders, rules, regulations, acts or restraints of any government or governmental body or authority, civil or military, including the orders and judgments of courts. Neither party may assign any of its rights or obligations hereunder without the other party’s consent; provided that (i) either party may assign all of its rights and obligations hereunder without such consent to a successor-in-interest in connection with a sale of substantially all of such party’s assets or business relating to this Agreement, and (ii) Remit4Health may utilize subcontractors in the performance of its obligations hereunder. No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under this Agreement, the prevailing party shall be entitled to recover costs and attorneys’ fees. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. The failure of either party to act with respect to a breach of this Agreement by the other party shall not constitute a waiver and shall not limit such party’s rights with respect to such breach or any subsequent breaches.

COMPREHENSIVE COVERAGE PLAN DETAILS

Remit4Health’s Comprehensive Care Guide

 

At Remit4Health, we know how hard it can be to take care of the people you love from so far away.

 

That’s why we offer Comprehensive Care Plans that make it easy and affordable to look after the health needs of all your loved ones under the age of 65.

 

With Remit4Health’s excellent coverage, you’ll enjoy the peace of mind of knowing that any time someone you love is in need, they can be taken care of right away without any hassles or having to pay  copays or fees.


 

The R4H Solution: The Coverage You Need At A Price You Can Afford

 

All R4H Comprehensive Care Plans include both Outpatient coverage and Inpatient coverage.

 

Outpatient coverage includes unlimited outpatient consultations at any one of our 17 clinics located throughout Kenya.  These consultations can take place on an as-needed basis without any claims or additional copays or fees at all. So, what your loved ones get is:

 

  • Access to a Doctor whenever needed

  • Specialist Referral

  • All prescribed tests and diagnostics

  • All prescribed medications - guaranteed for quality

  • Emergency Room Care

  • Individual Plans offer coverage for some preexisting conditions up to 100,000 KES

    • Conditions covered include Hypertension, Asthma, and Diabetes

 

Inpatient Care covers hospitalization and major procedures, including surgery, at one of two first rate hospitals, one in Nairobi and the other in Kisumu.

  • R4H Plans offer generous Inpatient coverage between 100,000 KES and 1,000,000 KES, depending on which plan is purchased.

  • Includes the following:

    • All needed medications

    • X-Rays. CT Scans and Laboratory Examinations

    • Operating Theatre, Surgical Treatment and all bill's associated with surgery

 

Comprehensive Coverage plans range between just US$270 and US$380 per person for a WHOLE YEAR of coverage.

 

The difference in cost between the plans determines how much Inpatient coverage is included.

 

Individual Plans Vs Family Plans:

 

Comprehensive Care Plans can be purchased for a group of individuals at favorable rates. Those covered under family plans receive Outpatient coverage as needed, BUT must share the Inpatient Coverage between them of between 100,000 KES and 1,000,000 KES, depending on plan purchase. Please note that Family Plans do NOT include coverage for preexisting conditions.

 

Many pre-existing conditions –– such as diabetes, hypertension, and asthma –– ARE included in our Individual Comprehensive Coverage Plans up to $1000.00 (typical investigations and drug treatments generally do not cost more than $500).


 

An Added Bonus: The R4H Health Navigator

Every single person covered by Remit4Health with be assigned a Health Navigator.

 

A Health Navigator is a qualified health professional employed by Remit4Health to benefit everyone we cover.

 

Our Health Navigators typically have a background in both nursing and claims administration so that they understand both the medical and bureaucratic sides of delivering care.

 

Health Navigators serve as a point of first contact for all our customers and everyone we cover. They will be there to answer questions, provide information on wellness resources, follow up about care received, and help address any issues that may arise.


 

Let’s Talk About What IS Covered

At Remit4Health we want to be upfront about what our Comprehensive Care Plans do and do not cover. While R4H coverage offers great coverage at excellent value, not everything, including some preexisting conditions, will be currently covered by our Comprehensive Plans.

 

What IS covered- Outpatient​ Benefits

  • Unlimited Consultations with an Avenue Healthcare doctor at any of our clinics

  • Unlimited Specialist Consultations on referral from our doctors

  • All needed drugs and dressings

  • X-rays, CT Scans, Ultrasound and Laboratory Examinations

  • Special Procedures (e.g. suturing, POP)

Outpatient services are available within 24 hours of enrolment from any of our facilities in Nairobi, Thika, Mombasa, Kisumu,Nakuru and Eldoret.

 

What IS covered- Inpatient​ Benefits​​

  • Inpatient care  to the selected limit

  • All needed drugs and dressings

  • X-Rays. CT Scans and Laboratory Examinations

  • Operating Theatre, Surgical Treatment and all bill's associated with surgery

Advantage, Privilege and Premier card holders have an additional benefit of costs of emergency admission for the first 48 hours in any NHIF approved hospital outside Nairobi. Avenue must be informed of any such admission within the first 24 hours.

Please note that for non-emergency admissions, there is a 60-day waiting period.


 

Let’s Talk About What Is NOT Covered

At Remit4Health we want to be upfront about what our Comprehensive Care Plans do and do not cover. While R4H coverage offers great coverage at excellent value, not everything, including some preexisting conditions, will be currently covered by our Comprehensive Plans.

What is NOT Covered- Outpatient​ Exclusions:

  • We do not yet provide coverage for people over 65 years of age

  • Pre-exisiting cancers or kidney diseases

  • Congenital and genetic disorders

  • HIV related conditions

  • Drug/alcohol dependency

  • No coverage for cosmetic surgery (except in the case of accidental disfigurement)

  • Family planning or pregnancy care (for this we have a separate plan)

  • Non-emergency gynecological surgery

  • Dentistry (except in the case of severe accidental damage)

  • MRI

  • Medical equipment

  • Prosthetic device

  • Hearing aids

What is NOT Covered- Inpatient Exclusions

  • Hospital admission in the first 60 days of membership, EXCEPT for accidental injury admissions

  • Intensive Care Unit (ICU) care (can be purchased at additional cost)

  • High Dependency Unit care

 

The good news is that NHIF covers much of what our plans do not - such as dialysis and chemotherapy. And Remit4Health makes it easy for your loved ones to sign up for NHIF coverage.

We are responsible for coordinating that care and would like to hear about any issues or concerns that you may have, but ultimately, our partners are responsible for the medical care they provide.

 

We also want you to know that Remit4Health is a growing company. As we expand we will be improving our coverage and our benefits. We are constantly working to deliver the best possible care to everyone we cover and maximize value to all our customers.

How Comprehensive Care Works:

 

1 Purchase

We make it easy to buy a plan. You can do so over the phone or via our website. We accept most major forms of payment, including Mpesa.

 

All you have to do is a choose the plan that’s right for those you want to cover, provide us with the necessary contact information (and health information if one of your loved ones has a covered pre-existing condition) and we’ll take it from there.

2 Onboard

Once you’ve purchased a plan, an R4H Health Navigator will oversee the onboarding process of everyone person you wish to cover.


If needed, your Health Navigator will also assist with signing up for NHIF so that your loved ones can get the most out of the available coverage.

3 Access Care

All your loved one has to do is go to any of our 17 clinics throughout Kenya and they will be able to receive all the  outpatient care they need.

 

Should Inpatient care be required, your loved one just needs to go to any one of our or our partner facilities throughout the country and make sure they inform the facility staff that they have prepaid coverage under Remit4Health and Avenue Healthcare. They will then be admitted, and if outside of Kisumu or Nairobi, transferred to one of those cities within 48 hours of admission.

Remit4Health’s Customized Senior Care Package  

 

At Remit4Health, we know how hard it can be to take care of the people you love from so far away.

 

Senior care can involve a lot of work just to manage the essentials. Things like finding the right doctors, making sure appointments are kept, access to quality medications, eye and ear exams, and so on can add up to a lot of stress, effort, and time. Especially when you live far away!

 

Remit4Health offers a better way to care for your loved ones back home. By putting together a customized Senior Care Package for every senior and linking that package to a care coordination specialist, Remit4Health takes the stress out of care coordination and let’s you focus on other things.


 

The R4H Solution: High Quality, Value-Driven and Hassle-Free Care

Each Senior Package is customized to match your senior’s needs and designed to deliver your loved ones the care they need, when they need it.

 

And that process starts with you! Because the first thing we do is ask you to describe your Senior’s health situation to one of our health experts. Based on that conversation, we’ll figure out what kind of care is needed to create your package (e.g. how many doctor’s visits are necessary, what kind of medication is required, etc).

 

We then coordinate those health services. If your Senior has a trusted doctor, we’ll work with that person. If not, we’ll provide a great doctor for you. We’ll also make it easy to purchase prescribed medications that are guaranteed for quality.

 

Once you’ve approved your package (and we’ll never charge you anything without your approval), then we make it easy for you to pay for everything securely and conveniently.   

 

Everything will then be coordinated by a R4H Health Navigator - a health professional employed by us to be there for your senior. That means your Navigator will organize appointments, follow up about care received, send reminders, answer any questions, and much more.

 

The goal of the  R4H Senior Care Package is to deliver to you and your Senior not just great care, but also Less Work, Peace of Mind, Better Value, Better Living, and Transparency.


 

An Important Distinction:

We want to be very upfront about what our Senior Care Package does and does not deliver.  

 

Specifically,  our Senior Care Packages are not insurance or blanket coverage of any kind. They are a Care Coordination Service.

 

That means your Senior will ONLY receive the care you pay for in your Package.

 

Anything outside of the scope of your Package - in other words, any health service not agreed to and funded by you in advance -  will not be covered.

That’s why your Health Navigator will get your Seniors plugged into important lifestyle services like nutrition and fitness support as well as local wellness resources.

 

  • Transparency: If your Senior consents, we can provide you with monthly reports detailing all care received by your Senior so you can stay up to date and informed. In the coming months as we expand our tech capabilities, you’ll be able to access that information online with just a few clicks.

In the next few pages we go through  the sign-up process in step-by-step detail. We’ll describe how we create your Package, how payment works, and most importantly our commitment to meaningful dialogue with you, our customer.

 

1 Share Information

The first thing we do is ask for information about your loved ones’ health so we can better understand what they need.   We will ask questions about medical history, current medical conditions, medications, primary care providers and other relevant information. We will also ask questions about your loved ones’ level of physical activity and, their diet.

 

2 Design the Package:

Our expert clinicians will then put together a Senior Care Package for your review. Our clinicians combine considerable expertise in internationally accepted standards of care with deep knowledge of locally available resources to craft a Package that will best serve your loved ones’ health needs.

 

This Package will vary depending on your loved ones’ specific needs but will usually include:

  1. Support from an R4H Health Navigator

  2. A primary care provider

  3. A nutritional assessment

  4. A fitness assessment

  5. Emergency services subscription

3 Discuss the Package:

This step is among the most important: we discuss the proposed Senior Care Package with you in detail. Our goal is to make sure that you’re comfortable with what we’ve put together and to answer any and all questions that you might have. At Remit4Health, we are committed to having a dialogue with our customers, because we believe it is critical to providing successful care.  

 

Our proposed package will include estimated costs.  All costs reflect discounted rates negotiated by Remit4Health.

 

We are currently partnering with the following providers:

Avenue Healthcare for clinical services

MyDawa for medications*

Flare by Capsule for Emergency Services Transportation*

 

* Currently, these services are currently only available in the greater Nairobi area.We are expanding our partnerships and will let you know as we bring new partners on board.

 

4 Buying the Package

We have created a secure and easy way for you to deposit funds that are dedicated to paying for your loved ones’ care.

 

All you need to do is make a credit or debit card payment to Remit4Health via our payment provider, Stripe.  Or, you can wire a deposit to our account in Kenya.

 

The idea is that you will transfer enough money to pay for one (1) year’s worth of care. We also recommend adding an additional buffer of $50.00 (or more if your choose) to cover unforeseen events like a hospital admission or other health emergency.

 

5 Access Care

As soon as you have enrolled and deposited the funds, your loved one will be assigned a Health Navigator and we will take it from there.


Our Health Navigator will contact your loved ones and schedule a visit or phone call to explain the benefits, gather information on their health status and schedule their baseline clinical visit and the fitness and nutritional assessments.
 

Your Senior’s R4H Health Navigator will be responsible for the following:

  • Signing up your loved ones to our service and that of all relevant providers.

    • Your Health Navigator will ensure that all necessary paperwork is filled out properly and that your loved ones are onboarded.

    • Your Health Navigator will also help your loved one enroll in the National Hospital Insurance Fund (NHIF).

  • Arranging for Care

    • Your Health Navigator will be there to help set up and coordinate all appointments and health services, serving as the first point of contact.

    • If there’s a problem or any questions, whether they are medical or administrative in nature, your loved ones will be able to contact their Health Navigator as needed to address the issue.

  • Serving as a Health Resource

    • Your Health Navigator will be there as a point of first contact to answer any questions that may arise during your senior’s health journey.

    • Your Health Navigator will also be there to assist with any prescribed follow-up care.

    • Your Health Navigator will also provide information about local wellness programs as well as keep your Senior up to date as Remit4Health expands its benefits and services.  

 

When your loved one goes to the clinic, they will not have to pay any money out of pocket. Our partners will bill Remit4Healthand we will use the funds you have deposited to pay them. When funds are running low, we will let you know so that you can top up.

6 Transparency

As long as your senior agrees, Remit4Health will send you a monthly report about how the package is being used and what services your senior is accessing.  If (s)he happens to have a chronic condition, our Health Navigators will also provide an update as to how their condition is going.
